Fable UI Commercial Component License Agreement
Effective date: 2026-11-01. Licensor: Fable UI, trading as Fable UI ("Fable UI", "we", "us"). Contact: info@higginsd.com.
This License Agreement governs use of the proprietary digital components identified in your Fable UI order. Before purchase, you must be given an opportunity to read and retain this Agreement and the Terms of Service and affirmatively agree to them. Your order record identifies the licensee, purchased scope, included releases and applicable Agreement version. If purchasing for an entity, you represent that you are authorized to bind that entity. If you do not agree, do not purchase or access the Licensed Materials.
1. Definitions
"Licensee" means the named individual or single legal entity identified in the accepted order. Related companies, separately owned clients and affiliates are not automatically the same Licensee. "Component" means a discrete digital component offered in the catalog, including only the code, documentation and assets expressly identified as included in its purchased release. "Licensed Materials" means proprietary Fable UI portions of purchased Components, release documentation and included assets to which Fable UI has authority to grant this Agreement. Third-Party Materials have the separate treatment in Section 8. "Order Snapshot" means the preserved list of specific Component release IDs, versions and associated included files or release manifests resolved for your purchase. It does not change automatically when the catalog changes. "End Product" means a substantially developed website, application or digital experience whose primary value and purpose is independent of providing the Licensed Materials to others for extraction or reuse. "Standalone Distribution" means providing Licensed Materials, including modified or repackaged versions, so recipients can access or reuse them as components, templates, source packs, design resources or substantially equivalent building blocks apart from permitted operation or maintenance of a specific End Product. "Authorized Collaborator" means an employee or contractor of the Licensee who needs access solely to work on permitted End Products for that Licensee and is bound by confidentiality and use restrictions sufficient to protect the Licensed Materials.
2. Purchase scope and pricing
An Individual Component purchase, priced at $25 USD before applicable tax, licenses the Component release identified in the Order Snapshot. A Complete Library purchase, priced at $250 USD before applicable tax, licenses the Components in the saleable Fable UI catalog as listed in that snapshot. If you buy several Individual Components, each Component is a separately identified purchase scope. These are one-time purchases. They are not subscriptions. No automatic right to future Components, future versions, updates, expanded collections or additional independent licensees is granted unless your order expressly states otherwise. Scope is not determined by a mutable folder name, a current catalog count or an advertising image. Taxes and total consideration are disclosed before payment. The same base use permissions apply across both product types; only the purchased Component scope differs.
3. License grant
Subject to verified payment and compliance with this Agreement, Fable UI grants the Licensee a nonexclusive, worldwide, nontransferable license, for the duration of the applicable rights unless validly terminated under Section 14, to download, store, internally copy, adapt and integrate the purchased Licensed Materials into an unlimited number of permitted End Products for the Licensee and its clients. You may operate, publicly display and commercially provide those End Products. "Worldwide" describes the geographical use license; it does not mean Fable UI offers sales in every jurisdiction or overrides mandatory law. You may keep reasonable private development, version-control and backup copies. You may give necessary access to Authorized Collaborators for permitted work. You remain responsible for their access and compliance, within applicable law. No public attribution to Fable UI is required unless a product or Third-Party Material license expressly requires it. Internal copyright and third-party notices must be retained as required. Ownership of the Licensed Materials does not transfer. No exclusive rights, trademark rights or independent sublicensing/redistribution rights are granted except as expressly stated here. Independent entities need independent licenses for their own general reuse of the materials.
4. Permitted client projects and handoff
You may use purchased Components to build a specific client website or application. You may transfer the completed End Product and the reasonably necessary project repository to that client solely so the client and its service providers can operate, maintain and modify that particular End Product. Such handoff must preserve relevant notices and communicate restrictions against extracting or reusing Licensed Materials as a separate library, using them in unrelated projects without a separate license, or redistributing them. The client receives no general-purpose component-store, source-pack or reseller license. The handoff exception does not permit delivery of your entire Fable UI download library, unrelated Components or unneeded asset collections. If a client wants independent reuse across its own projects, it must obtain an appropriate separate license from Fable UI unless another applicable license already permits that use.
5. Normal web delivery and private collaboration
Frontend End Products may necessarily deliver JavaScript, CSS, SVG, shaders or other browser assets to visitors as part of ordinary execution. This Agreement permits those technical transmissions reasonably necessary to operate a permitted End Product. You are not required to prevent all technical inspection of a working website. This permission does not authorize intentionally publishing a reusable proprietary component library, making development downloads publicly available or providing extraction tools. Use private repositories and access-controlled collaboration systems for uncompiled proprietary source where reasonably practicable. Do not use public repositories, unrestricted cloud folders or public package registries to distribute the Licensed Materials as reusable resources. This section does not restrict rights independently granted under an applicable Third-Party Material license or mandatory law.
6. Prohibited uses of proprietary Licensed Materials
Except as expressly permitted here, by a separate written agreement, by an applicable third-party license or by mandatory law, you must not: (a) share, distribute, sell, rent, lend, sublicense, gift, trade or otherwise make Licensed Materials available for another party's standalone use; (b) republish original, modified, translated, rearranged, renamed or lightly altered Components as a competing component library, resource collection, UI kit, template pack, stock asset, code marketplace listing or downloadable design product; (c) place proprietary Licensed Materials in a public source repository, open package registry, unrestricted drive, file-sharing network or community resource channel; (d) use Licensed Materials in a template generator, site builder, no-code platform, theme marketplace or similar service where customers can extract or reuse substantially equivalent component source without a separately authorized license; (e) pool purchases across unrelated persons/entities or share credentials/delivery access to evade licensing; (f) remove or falsify rights-management information, copyright notices or required third-party attribution, or falsely claim authorship/ownership of another party's underlying work; (g) use stolen payment information, circumvent access controls, forge purchase evidence or access products outside your purchased scope; (h) use the Fable UI name or marks in a way that falsely suggests endorsement or ownership of Fable UI; (i) use the products in ways that violate applicable law or another person's intellectual-property rights. Charging for your own development services or charging for access to a legitimate End Product is not prohibited merely because that End Product includes a purchased Component. The distinction is the licensed end use versus standalone resource distribution.
7. AI-assisted development and automated services
You may use Licensed Materials with private development-assistance tools when reasonably necessary to build your permitted End Product, provided you have authority to submit the material, use confidentiality/no-public-training controls available under the relevant service contract, and do not expose the material to unrelated users or public repositories. Do not intentionally include proprietary Licensed Materials in public training datasets, publicly shared prompts/output libraries or services designed to reproduce and distribute the Components as reusable products without written authorization. These restrictions do not override mandatory law or rights independently granted by third-party licenses. You remain responsible for reviewing the chosen service terms; Fable UI does not guarantee another provider's data practices.
8. Third-party materials and upstream rights
Components may depend on open-source packages or contain separately licensed code, images, fonts, models, footage or other materials. Product pages and delivered notices must identify included/excluded assets and applicable licensing obligations accurately. Third-party licenses govern their own material and prevail over conflicting restrictions in this Agreement for that material. Fable UI does not purport to revoke redistribution, modification or other rights a third-party rightsholder has already granted you. Where third-party terms require attribution, source availability or other conditions, you must comply with those terms. Separately required commercial subscriptions or asset licenses are not included unless expressly identified. Fable UI may license only rights it owns or is authorized to grant. Fable UI's compilation, documentation, branding or modifications do not by themselves establish exclusive ownership of underlying third-party material. If rights to a particular item are disputed or withdrawn, we may suspend new distribution while evaluating a lawful replacement, remediation or applicable refund, without asserting powers beyond the actual license and law.
9. Delivery, security and access
After verified payment, Fable UI sends an order-confirmation email. A separate email provides secure access once the purchased files are prepared. The processing estimate disclosed before purchase applies; payment confirmation is not a promise of immediate file delivery. Verify the email address you provide. Download links may expire for security, and you may request refreshed access through the supported identity-verification process. Link expiration alone does not terminate the underlying use license. We may use reasonable access controls and minimal order identifiers to support fulfillment and investigate misuse as described in the Privacy Notice. We do not promise perfect anti-copy protection or secretly install tracking/remote-disable functionality in purchased source. You are responsible for securing your credentials and private copies. We are responsible for fulfilling the advertised purchase and any non-excludable legal obligations.
10. Compatibility, changes and support
Product-specific technical requirements, included files, dependencies and tested compatibility are those disclosed for the purchased release. Do not assume all Components use the storefront's framework. You are responsible for assessing suitability for your project and testing your integration. Fable UI does not promise custom development, indefinite compatibility, future support or future updates unless expressly included. A material mismatch between actual deliverables and the purchase description is handled under the Refund & Delivery policy and applicable law; it is not excused merely by this section.
11. Refunds and retained rights
The Refund & Delivery policy disclosed at checkout applies, subject to mandatory consumer rights. Approved full or item-specific refunds may end your license for the refunded proprietary materials, except where the refund terms or law provide otherwise. Stop new use and remove copies you are no longer licensed to retain, while retaining only records required by law and respecting any separate valid license. An independently valid license for the same release from another order is not revoked by refund of a different order. A payment dispute is not conclusive proof of wrongdoing; temporary access restrictions and final outcomes must be proportionate and legally justified.
12. Ownership and evidence of misuse
All rights not granted are reserved by their respective rightsholders. If reasonably requested in connection with a specific documented licensing concern, cooperate with proportionate verification of purchase and use. This clause does not grant Fable UI access to your devices, unrelated repositories, confidential client information or systems, or a general audit power without agreement or lawful process. Information requests must be limited, secure and consistent with the Privacy Notice and applicable law.
13. Warranties and liability
Fable UI represents that it will offer only material it owns or has authority to distribute under the stated product terms. Apart from express product commitments and rights that cannot lawfully be excluded, Licensed Materials are provided on an "as is" and "as available" basis; no guarantee is made of error-free operation, fitness for every project, universal browser/framework compatibility, continuous access or a particular business result. To the extent permitted by applicable law, neither party is liable under this Agreement for indirect or consequential losses that were not reasonably foreseeable, and Fable UI's aggregate contractual liability concerning a purchase is limited to the amount paid for the affected order. These limitations do not exclude or limit liability for fraud, intentional misconduct, gross negligence where non-excludable, breach of non-excludable statutory warranties, personal injury where protected, data/privacy obligations that cannot be limited, or any other liability that cannot lawfully be excluded. They do not cap a party's liability for infringement or unauthorized distribution of the other's intellectual property where such a cap would defeat the reserved remedies.
14. Suspension, breach and termination
For a remediable material breach, Fable UI will ordinarily provide notice describing the issue and a reasonable opportunity of at least 14 days to cure before termination, unless applicable law requires more. We may promptly suspend new downloads where reasonably necessary to address suspected fraud, serious security risk or ongoing unauthorized distribution, while giving notice when lawful and practicable. Confirmed intentional standalone resale, deliberate public redistribution or fraudulent acquisition may justify termination without a cure period to the extent permitted by law. Termination must identify the affected license and grounds; it does not automatically cancel unrelated valid licenses. On valid termination, stop using the affected proprietary Licensed Materials and remove copies except where law or another valid license permits retention. Obligations concerning ownership, permitted records, confidentiality, restrictions and lawful remedies survive to the extent relevant. No remote shutdown of client websites is authorized by this Agreement.
15. Enforcement and remedies
Unauthorized sharing, distribution, sublicensing or standalone resale of proprietary Licensed Materials may result in access restrictions, valid termination and pursuit of available civil remedies. Depending on actual rights and circumstances, a rightsholder may seek injunctive relief, actual damages, profits attributable to infringement, eligible statutory remedies, and costs or reasonable legal fees where authorized by law or an enforceable agreement. Remedies are subject to proof, applicable defenses, statutory prerequisites, court discretion and mandatory rights. No automatic fine, guaranteed damages amount or criminal penalty is created by these terms. Only competent authorities determine criminal liability. Fable UI will use accurate lawful notices and processes rather than threats unsupported by its rights.
16. Governing law and disputes
North Carolina law and applicable United States federal law govern, excluding conflict-of-law rules to the extent permitted. This choice does not remove mandatory protections of a consumer's residence or another applicable jurisdiction. Parties should first contact info@higginsd.com to attempt good-faith resolution. If unresolved, disputes may be brought in the state or federal courts with competent jurisdiction in Mecklenburg County, North Carolina, subject to nonwaivable jurisdiction/venue rules and any available small-claims rights. No mandatory arbitration or class-action waiver is imposed in this draft.
17. Changes, priority and general terms
The version accepted for your order governs that purchased release. Later website changes do not silently rewrite your existing license. A separate written agreement may expressly modify a particular license. Applicable Third-Party Material terms control their material; the Order Snapshot controls purchased scope; this Agreement controls use permissions; Terms of Service control the transaction and site; mandatory law prevails over conflicts. No waiver is effective merely because a right is not immediately enforced. If a clause is invalid, remaining provisions continue to the extent lawful, without expanding restrictions beyond the parties' lawful agreement. You may not transfer the general-purpose license to another independent entity without written consent, except where applicable law requires otherwise; the limited client handoff in Section 4 remains permitted. Any assignment by Fable UI must preserve vested customer rights and required notices. This Agreement and the identified order documents form the agreement on licensed use, without excluding liability for statements or rights that law protects.
